BOI reporting: what’s required now

In August 2026, FinCEN permanently ended BOI reporting for U.S. companies and U.S. persons. Only foreign companies registered to do business in the U.S. still need to file.

The Corporate Transparency Act required most U.S. and foreign companies to report their beneficial owners to FinCEN.

FAQ

Do I need to file?

I own a U.S. LLC or corporation. Do I need to file?

No. Under FinCEN’s final rule, companies created in the United States and their U.S. beneficial owners are exempt from federal BOI reporting. FinCEN has also said it will delete BOI previously submitted by entities that are now exempt.

Who still has to file?

Foreign reporting companies — entities formed under the law of a foreign country that have registered to do business in a U.S. state or tribal jurisdiction by filing with a secretary of state or similar office.

What’s the deadline for a foreign company?

A foreign company that registers to do business in the U.S. generally has 30 calendar days after its registration is effective to file its initial report.

Do U.S. owners need to be reported?

No. Foreign reporting companies are not required to report U.S. persons as beneficial owners or company applicants — only foreign individuals.

Are there state rules to watch?

Some states have considered or adopted their own ownership disclosure rules, separate from the federal BOI rule. If your company is registered in several states, ask us to check what applies.
